Definition of Materiality:

  1. The quality or character of being material or composed of matter.

  2. Measure of the estimated effect that the presence or absence of an item of information may have on the accuracy or validity of a statement. Materiality is judged in terms of its inherent nature, impact (influence) value, use value, and the circumstances (context) in which it occurs. Opposite of triviality. See also material fact.

Materiality is what the FTC believes should be displayed before regulating misleading advertising. Simply put, advertising must have a strong and significant impact on consumers' choices or actions regarding a product (or service). If the impact on consumers is negligible (something small and insignificant), the FTC will (in theory) not regulate the ad.

The degree of omission or misrepresentation in the ACCOUNTING information that, under the circumstances, makes it likely that a reasonable person's judgment based on the information will change or influence it.
